  • Review, negotiate, and administer commercial technology agreements related to the provision of software and services, including implementation, licensing and maintenance agreements.
  • Add value throughout the sales process and post-signature contract management, including review and negotiation of project proposals, contracts, and amendments, familiarizing delivery teams on exceptional provisions in negotiated contracts, and advising project managers with respect to contract terms.
  • Ensure compliance with corporate and divisional policies, and acceptable risk standards.
  • Liaise with and escalate issues in a timely manner to internal stakeholders as appropriate for determination/resolution.
  • Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with other business transactions.
  • Actively identify and drive improvements to contract risk management and contracting efficiency.
  • Train sales and delivery teams to enhance their working knowledge of contract risk management issues and mitigation paths over time.
  • Administration of existing customer contracts including change orders and add-on scopes of work.
  • Drafting contractual responses for formal proposals/bids.
  • Practical UCC knowledge and contracting experience.

Qualifications:

  • Juris Doctorate Degree with 2 to 5 years of experience.
  • Experience in drafting and negotiating complex commercial software licenses, technology agreements, software implementation agreements (services) and software maintenance agreements is beneficial.
  • Experience in negotiating terms and conditions (i.e. - warranties, limitation of liability, indemnity and IP licensing) is beneficial.
  • Internal and external customer service skills.
  • Ability to work independently on complex tasks.
  • Ability and willingness to meet multiple time sensitive deadlines.
  • Strong business acumen and ability to make sound judgments.
  • Good presentation skills.
  • Self-motivated, determined and an effective written and verbal communicator.

4/19 - Bankruptcy Case Administrator/Legal Assistant

Office of the Chapter 7 Trustee/Sparkman, Shepard & Morris, P.C., Huntsville, AL

Part-Time (Approx. 20 hours per week)

Job Duties:  This position reviews, analyzes and processes data from bankruptcy schedules, motions, orders, proofs of claim, hearing outcomes, attorney fee applications, enters same into the Trustee's case management software system, and is then responsible for preparing and filing the various and necessary reports required for the Trustee to finalize and conclude his administration of a case, including preparing and filing financial reports, motions, objections and notices with the Court.  Case administrators will monitor case progression and must be able to communicate via telephone, email and mail with debtors, attorneys, creditors and court personnel. Must be able to work closely with co-workers to facilitate the effective administration of chapter 7 bankruptcy cases.

Education:  Associates degree or equivalent work experience

Skills Required:

 Proficient in Microsoft Office products, and ability and willingness to learn specialized case management software and attorney billing software

  • Maintain high output of work product while maintaining attention to detail
  • Communicate effectively with co-workers and others outside the office
  • Strong analytical and problem solving skills
  • Strong time management and organizational skill

Experience Preferred: Two years bankruptcy experience, and/or three years banking, bookkeeping, accounting or financial environment.

Job Type:  This listing is for a part time position, working approximately 20 hours per week.  Pay will be based upon experience and qualifications. No benefits will be provided.  Some flexibility regarding establishing a work schedule (i.e., working 2 to 3 full days or 4 to 5 half days).
